Payment Terms

Invoices are due upon receipt unless otherwise specified
Late payments may be subject to interest charges and/or service suspension

Limitation of Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Denton Computing, Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate Services with written notice as specified in the applicable service agreement. Upon termination:

All outstanding fees become immediately due
We will provide reasonable assistance in transitioning Services
Confidentiality obligations survive termination
We will return or destroy your confidential information upon request

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Denton County, Texas, and you consent to the personal jurisdiction of such courts.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of our website or Services after such changes constitutes acceptance of the modified Terms.

Severability
